MAX3224 Not Sleeping

Question

I have the MAX3224EAP+ in my circuit and I'm trying to make use of the Auto Shutdown Plus feature.

I'm trying to make use of the following conditions in the table on page 9 of the datasheet: 
 
 I think I have the logic right, but the MAX3224 does not go to into shutdown mode. 
 Any help would be greatly appreciated.
